Agreement to Terms

These Terms & Conditions ("Terms") govern access to and use of the Share Register platform (the "Service"), operated by Ananda Sirisena and Company (Private) Limited ("ASAC", "we", "us", or "our"). By creating an account, accepting a company invitation, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

These Terms apply alongside our Privacy Policy, which describes how we collect and handle personal data.

Description of the Service

Share Register is a digital platform that helps private companies maintain their shareholder register, record the issuance and transfer of shares, manage shareholder and company-user access, and generate related documentation such as share certificates and transfer agreements.

The Service is a record-keeping and workflow tool. Unless a separate signed engagement states otherwise, ASAC does not act as your company's statutory registrar, company secretary, or legal/financial adviser, and use of the Service does not by itself satisfy any company's statutory filing or record-keeping obligations under applicable law.

Accounts and Access

Accounts are authenticated by one-time passcode (OTP) sent to the mobile number or email you register. You are responsible for keeping that contact method secure and for all activity that occurs under your account.

Within a company on the platform, access is role-based (for example, super admin, admin, or shareholder). A company's administrators are responsible for who they invite, what role they grant, and for promptly removing access that is no longer appropriate.

You must notify us promptly at the contact details below if you suspect unauthorized access to your account.

Accuracy of Company and Share Data

Companies and their authorized users are solely responsible for the accuracy and completeness of the data they enter, including company details, share structure, shareholder details, and transaction records. ASAC is not responsible for losses arising from inaccurate, incomplete, or fraudulently entered data.

Share issuances and transfers recorded on the Service reflect what authorized users submit through the platform. It remains each company's responsibility to ensure such actions comply with its constitutional documents, shareholder agreements, and applicable company law.

Acceptable Use

You agree not to misuse the Service — including attempting to access accounts, companies, or data you are not authorized to access; interfering with the Service's normal operation; or using the Service to store or transmit unlawful content.

Fees

Where the Service is offered on a paid basis, applicable fees, billing terms, and any trial or cancellation terms will be presented to you (or your company) at the point of purchase or in a separate order form, and are incorporated into these Terms by reference.

Intellectual Property

The Service, including its software, design, and branding, is owned by ASAC and its licensors and is protected by applicable intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service for its intended purpose — they do not transfer any ownership rights to you.

Data Protection

We process personal data submitted through the Service in accordance with our Privacy Policy. Companies using the Service to hold shareholder data act as controllers of that data for their own purposes and are responsible for having a lawful basis to process it.

Suspension and Termination

We may suspend or terminate access to the Service for any account or company where we reasonably believe these Terms have been violated, where required by law, or where necessary to protect the Service or other users. A company administrator may also request closure of their company's account, subject to any statutory retention obligations.

Disclaimers and Limitation of Liability

The Service is provided "as is" and "as available." To the fullest extent permitted by law, ASAC disclaims all warranties, express or implied, regarding the Service's reliability, availability, or fitness for a particular purpose.

To the fullest extent permitted by law, ASAC's aggregate liability arising out of or relating to the Service shall not exceed the amount you or your company paid for the Service in the twelve (12) months preceding the claim, and ASAC shall not be liable for indirect, incidental, or consequential damages.

Changes to These Terms

We may update these Terms from time to time. Material changes will be notified through the Service or by other reasonable means. Continued use of the Service after a change takes effect constitutes acceptance of the revised Terms.

Governing Law

These Terms are governed by the laws of the Democratic Socialist Republic of Sri Lanka, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Sri Lanka.
